Welcome to IOR Africa. These Terms and Conditions (“Terms”) govern access to and use of our website, as well as engagement with our Importer of Record (IOR), Exporter of Record (EOR), and trade compliance services. By accessing our website or working with IOR Africa, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue use immediately.

1 - Interpretation & Definitions

For the purposes of these Terms:

  • “IOR Africa” refers to our company, its digital platforms, and its service offerings.
  • “Services” include Importer of Record, Exporter of Record, customs representation, regulatory compliance support, duty and tax management, and related logistics coordination.
  • “Client”, “You”, or “Your” refers to any legal entity or individual requesting or using our Services.

2 - Website Access & Acceptable Use

  • Our website may only be used for lawful, legitimate business purposes.
  • Content published on this website may not be copied, reused, altered, or redistributed without written authorization from IOR Africa.
  • Any attempt to misuse the website, interfere with its operation, or access restricted areas may result in legal or corrective action.

3 - Scope of Services

Support for IT, telecom, and infrastructure imports

  • IOR Africa delivers compliance-driven Importer and Exporter of Record solutions across Africa and selected global markets.
  • All Services are provided in accordance with applicable customs, trade, tax, and regulatory frameworks in the destination and origin countries.
  • We reserve the right to decline or discontinue any transaction that may expose IOR Africa to regulatory, sanctions, or legal risk.

4 - Client Obligations

When engaging IOR Africa, the Client agrees to:

  • Submit complete, accurate, and truthful shipment, product, and valuation information.
  • Ensure that goods are lawful for import/export and comply with applicable trade controls and licensing requirements.
  • Settle all applicable duties, taxes, government charges, and service fees unless contractually agreed otherwise.
  • Maintain required permits, authorizations, or registrations relevant to the shipment.

5 - Pricing & Payment

  • Service fees are communicated through formal quotations, proposals, or agreements prior to execution.
  • Payments must be made in the agreed currency and within the specified payment terms.
  • Delayed or failed payments may result in shipment holds, service suspension, or recovery actions.

6 - Customs Representation & Compliance

  • IOR Africa acts as Importer or Exporter of Record strictly for regulatory and customs purposes as agreed per transaction.
  • Government duties, VAT, customs penalties, and statutory charges remain the Client’s responsibility unless explicitly stated otherwise in writing.
  • IOR Africa is not responsible for delays, inspections, fines, or seizures caused by incorrect, missing, or misleading Client-provided information.

7 - Limitation of Liability

  • IOR Africa shall not be liable for indirect, consequential, or economic losses, including loss of revenue, business interruption, or regulatory penalties.
  • Our total liability, if any, is limited to the service fees paid for the specific shipment or transaction giving rise to the claim, unless otherwise agreed in a signed contract.

8 - Intellectual Property Rights

  • All website materials, including written content, visuals, branding elements, and trademarks, are the exclusive property of IOR Africa.
  • Unauthorized use, reproduction, or distribution of these materials is strictly prohibited.

9 - Confidentiality & Data Protection

  • Both parties commit to safeguarding confidential commercial, technical, and compliance-related information shared during the engagement.
  • Personal and business data is processed in line with our Privacy Policy and applicable data protection regulations.

10 - Suspension & Termination

  • Either party may terminate an active service engagement with written notice, subject to outstanding obligations.
  • IOR Africa reserves the right to immediately suspend or terminate services in cases of non-compliance, legal violations, or material breach of these Terms.

11 - Governing Law & Jurisdiction

  • These Terms shall be governed by and interpreted in accordance with the laws of Egypt.
  • Any disputes arising from these Terms or the Services shall fall under the exclusive jurisdiction of the courts of Egypt courts.

12 - Amendments

IOR Africa may revise or update these Terms periodically to reflect regulatory changes, service updates, or operational requirements. Continued use of the website or Services constitutes acceptance of the revised Terms.
